These UiPath Pioneers of Automation Program Terms and Conditions (there “Terms”) contain the terms and conditions of your participation in the Pioneers of Automation Program (the “Program”) powered by the Economic Times, and are an agreement between UiPath Robotic Process Automation India Private Limited (“UiPath”) and you (“You”). These Terms take effect when you check the box presented with these Terms. You represent to us that you are lawfully able to enter into contracts, and if You are entering into these Terms on behalf of an entity, such as the company You work for, You represent to UiPath that you have legal authority to bind that entity.

PROGRAM OVERVIEW. The Program intends to create a platform for customers and Industry leaders who have made significant contribution in the field of automation & digital transformation to foster and build a community for these change drivers, to share their perspectives and thought leadership. The Program intends to highlight, profile, and promote these insights and thought leadership for benefit of the RPA industry as a whole.

PROGRAM ENROLLMENT. The nomination and enrolment to this Program is voluntary and is open to all UiPath customers, industry analysts, technology leaders & influencers. The Program is intended entirely for showcasing thought leaders and their vision in the space and has no financial incentives or anything material whatsoever associated with it. There is correspondingly no potential business or revenue expectation by UiPath. You will sign up in their individual capacity, however You may choose to speak from the perspective of Your organizational role. The final decision on Your membership in the Program rests with UiPath.

YOUR CONTRIBUTION TO THE PROGRAM. The information that UiPath will capture from You will regard Your contribution, views, and insights in the field of automation and digital transformation as whole, apart from an overall snapshot of Your persona. The primary mode in which UiPath will capture such information will be through editorial interviews and discussion.

HOW WILL UIPATH USE THE INFORMATION YOU PROVIDE. The Program will primarily use a microsite & social media to feature & promote You & and Your views and experience. The Program microsite will have a dedicated page for each featured profile and will use a mix of various content formats to bring out Your contributions and perspectives, to help build Your persona and personal brand. The content created will be a combination of interview, video, blog/article (editorial or otherwise), photograph(s) etc.

The views You express during Your membership in the Program will be solely yours and will not represent the views and opinions of UiPath. UiPath will edit the information you provide solely for the purpose of enabling publication in certain formats, and will not alter the substance of your message in any manner. Any Materials developed for the Program will be pre-approved by You prior to publication by UiPath.

GENERAL PROGRAM GUIDELINES. During your membership in the Program, You will not: (i) provide UiPath with any information You are not entitled to provide or which You are not permitted to disclose, such as any information that is subject to a confidentiality agreement; (ii) make unfair, deceptive or misleading statements or comparisons between UiPath’s products and services and those of a third party, or between the products and services of third parties; (iii) provide any information that is not accurate and provable (eg. spreading false rumors, making unsubstantiated comparisons, intentionally leaving out relevant information etc.); (iv) discredit, insult, discriminate or otherwise affect the dignity of any person, entity, or public morality in general.

UiPath may request additional information to determine the accuracy of Your statements and reserves the right to reject and not to publish any information You provide that fails to meet the requirements above.

INTELLECTUAL PROPERTY RIGHTS. By joining the Program, You grant UiPath, its direct and indirect subsidiaries, affiliates, and its assigns, licensees and successors, to record or use Your likeness, image, name, voice or statements, interviews, performance, and other recordings or written materials incorporating You and Your vision, views and experience, as recorded by any means whether now known or hereafter created (“Materials”). You grant UiPath and persons authorized by UiPath permission to use, edit, modify, reproduce, publicly perform, broadcast, display, and distribute the Materials on UiPath’s online platforms (ie. websites, blogs, forums and social networks) related to the Program, for the promotion of the Program, as they see fit, without compensation, including in works or products created by or on behalf of UiPath and in press releases. The license to use the Materials in the ways specified herein is granted for the entire duration of rights, worldwide, royalty-free, with the right to sublicense through multiple levels. You represent and warrant that You are the sole owner of or have obtained all necessary permissions to grant the rights over the Materials to UiPath, as specified here, and, in case You express the views of Your employer, that you are fully authorized to share such information publicly.

Nothing in this Agreement shall be construed to grant You any license or other right regarding any UiPath proprietary information or materials, or to UiPath’s trademarks and any other intellectual property rights related to any of the foregoing. You shall not store or transfer for storage any UiPath data without UiPath’s written consent.

PRIVACY. By joining the Program and providing Your personal data (as defined by the General Data Protection Regulation (“GDPR”) and other applicable privacy laws) to UiPath, You consent that the data will be used and processed by UiPath in accordance with UiPath’s Privacy Policy, solely for purposes related to the administration of the Program.

If You provide to UiPath any personal data pertaining to other persons, You agree to do so in strict accordance with the GDPR and other applicable privacy laws. You undertake to obtain from each individual whose personal data is shared with UiPath all legally required informed consents for the use of such data by UiPath to provide the individual with information regarding UiPath’s products, services, events and promotions. You will inform any such person that the use of their personal data is governed by UiPath’s Privacy Policy. All consents must be recorded and auditable. UiPath may request at any time to be provided with evidence of consent.

LIMITATION OF LIABILITY. You agree that during Your membership in the Program You are fully responsible for Your own actions/inactions and You agree that You will not hold UiPath liable for any harm, damages, prejudice etc., that You may incur due to Your own actions/inactions during Your membership in the Program.

GOVERNING LAW. VENUE. These Terms are governed by the laws of India, and any dispute related in any way to the Materials or these Terms, if not resolved within 15 days through discussion between the parties, will be referred to the Singapore International Arbitration Centre and shall be settled in accordance with the Arbitration Rules of the Singapore International Arbitration Centre by a tribunal consisting of 1 arbitrator. The award will be in accordance with the Governing Law and state the reasons upon which it is based.
